 1. Agreement Overview

These Terms of Service (“Terms”) govern your use of services provided by CH Virtual Solutions (trading name of CAH Management Solutions), a business licensed under UAE Abu Dhabi Mainland Freelance License and operating from Abu Dhabi, UAE.

By engaging our services or using our website, you agree to be bound by these Terms.

 2. Services Provided

CH Virtual Solutions provides administrative services including:

- Administrative support

- Event planning

- Client services

- Process optimization

- Organizational support

Service Delivery:

- Services are provided primarily online and remotely

- On-site services may be available in Abu Dhabi upon agreement

- Each project timeline is bespoke and will be detailed in individual service contracts

- Services are available as monthly contracts, singular projects, or ongoing contracts

 3. Client Responsibilities

Information and Access

You agree to provide:

- Timely access to necessary systems, documents, and information

- Required login credentials for systems we will manage (Google Drive, email, calendars, Instagram, etc.)

- Accurate and complete information needed to deliver services

- Feedback and communication as requested

Communication Standards

- We endeavor to respond to communications within 24 hours when possible

- You are expected to provide timely feedback and cooperation

- Clear communication channels must be maintained throughout service delivery

Client Onboarding

If services include client onboarding, you agree to participate in feedback sessions and provide necessary information for effective service delivery.

 4. Payment Terms and Conditions

Tutoring Services

- Payment Structure: Prepaid packages

- Payment Due: In advance of service delivery

Virtual Assistant Services

- Payment Structure: Project-based pricing

- Payment Terms: Net 30 days, with invoices due within 7 days of invoice date

- Payment Methods: Bank transfer, Stripe, or WIO payment processing

Additional Terms

- Late Fees: Currently not applicable

- Deposits: Not required except for large-scale projects (to be agreed separately)

- Currency: All payments in UAE Dirhams (AED) unless otherwise agreed

 5. Trial Period and Contract Terms

Initial Trial Period

- First Month: Considered a trial period where either party may terminate with 30 days written notice

- Purpose: To assess mutual compatibility and service effectiveness

Ongoing Services

- After First Month: 30 days written notice required for termination by either party

- Notice Example: To terminate services starting in September, notice must be given by September 1st, with services ending September 30th

- Final Invoice: Due within 7 days of service completion

 6. Intellectual Property and Work Product

 Client Ownership

- All Work Product: You retain full ownership of all work, documents, processes, and deliverables created for you

- Usage Rights: You may use, modify, and distribute all work product as needed for your business

- No Retained Rights: CH Virtual Solutions retains no intellectual property rights in client work product

Client-Provided Materials

- You retain ownership of all materials, information, and content you provide

- You grant us a limited license to use these materials solely for service delivery

 7. Confidentiality

Mutual Confidentiality

- We will maintain strict confidentiality of all client information, documents, and business details

- You agree to keep confidential any proprietary methods or processes we share

- Confidentiality obligations survive termination of services

Data Protection

- All personal data handling complies with our Privacy Policy and UAE Federal Decree Law No. 45 of 2021

- We implement appropriate security measures to protect confidential information

 8. Limitations of Liability

Liability Cap

Our total liability for any claims arising from our services is limited to the total amount you paid for services in the 6 months preceding the claim.

Excluded Damages

We are not liable for:

- Consequential, indirect, or special damages

- Lost profits or business interruption

- Damages arising from third-party systems or services we do not control

- Inaccuracies in client-provided information

- Events beyond our reasonable control

Client Responsibility

You are responsible for:

- Accuracy of information and materials provided to us

- Backup of your data and systems

- Third-party services and systems you use

- Compliance with laws applicable to your business

 9. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, internet outages, or other unforeseeable events.

 10. Termination

Either party may terminate services:

- During the first month (trial period): 30 days written notice

- After the first month: 30 days written notice

- Immediately for material breach of these Terms

Effect of Termination

Upon termination:

- Final invoice must be paid within 7 days

- We will return or delete client materials as requested

- Confidentiality obligations continue

- You retain all rights to work product already delivered

 11. Dispute Resolution and Governing Law

 Governing Law

These Terms are governed by the laws of the United Arab Emirates.

Jurisdiction

Any disputes arising from these Terms or our services shall be resolved exclusively in the competent courts of Abu Dhabi, UAE.

Claims Limitation

Any claims must be brought within 6 months of the incident giving rise to the claim.

 12. Website Terms

 Acceptable Use

When using our website, you agree not to:

- Use the site for any unlawful purpose

- Attempt to gain unauthorized access to our systems

- Submit false or misleading information

- Interfere with website functionality

Website Availability

- We strive for continuous website availability but do not guarantee uninterrupted access

- We reserve the right to modify or discontinue website features

 13. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information in compliance with UAE data protection laws.

 14. Modifications to Terms

Updates

We reserve the right to modify these Terms at any time. Changes will be effective upon:

- Posting updated Terms on our website

- Updating the “Last Updated” date

- For material changes: providing 30 days advance notice via email

Continued Use

Your continued use of our services after changes constitutes acceptance of modified Terms.

 15. Severability

If any provision of these Terms is found to be unenforceable under UAE law, the remaining provisions will continue in full force and effect.

 16. Entire Agreement

These Terms, together with our Privacy Policy and any individual service contracts, constitute the entire agreement between you and CH Virtual Solutions regarding our services.
